Franklin Templeton Files SEC Form 8-A for Stock Dividend Bitcoin ETFs

Asset management giant Franklin Templeton has completed its final regulatory step before launching two novel exchange-traded funds designed to convert corporate stock dividends into bitcoin. On October 22, the firm filed a Form 8-A with the Securities and Exchange Commission (SEC) to register shares for trading on the Nasdaq, setting an effective launch date of October 27.

How Dividend Reinvestment Converts Equity into Bitcoin

The Franklin US Equity Bitcoin DRIP Index ETF (FBEQ) tracks the VettaFi US Large-Cap 500 Bitcoin DRIP Index, which held 499 stocks with market capitalizations ranging from $10.2 billion to $5.5 trillion as of September 30. At inception, the portfolio allocates 95% to U.S. large-cap equities and 5% to bitcoin. Whenever underlying portfolio companies pay a regular or special dividend, the cash is automatically reinvested into bitcoin at market open on the day after the ex-date.

To manage allocation drift, any bitcoin position exceeding 5% is trimmed back to 4.5% during quarterly rebalancings. Furthermore, if bitcoin surges above 20% of the index between scheduled rebalances, it is reduced to 4.5% within two business days, routing the cash proceeds back into stocks. The fund carries a 0.09% expense ratio with no 12b-1 fees and gains exposure via spot exchange-traded products—such as Franklin's own spot fund EZBC—as well as futures, options, and depositary receipts via a Cayman Islands subsidiary. Portfolio managers Dina Ting, Hailey Harris, Joe Diederich, and Basit Amin will oversee the funds under Franklin Advisory Services and sub-advisor Franklin Templeton Institutional.

The second fund, the Franklin US Innovation Bitcoin DRIP Index ETF, utilizes identical dividend-conversion mechanics while tracking the VettaFi US Innovation 100 Bitcoin DRIP Index, drawn from Nasdaq's 100 largest non-financial firms.

Strategic Integration and Corporate Background

This product suite marks an evolution in Franklin Templeton's digital asset footprint. The firm initially filed for a spot bitcoin ETF in September 2023, subsequently launching EZBC in January 2024 amidst evolving institutional interest across US Bitcoin ETFs. In April, the asset manager acquired 250 Digital to establish its Franklin Crypto division. CEO Jenny Johnson previously noted that blockchain technology threatens traditional Wall Street fee structures far more than its core infrastructure.

Key Takeaways

  • Registration Finalized: Form 8-A filed on October 22 with a target Nasdaq listing date of October 27.
  • Core Mechanics: Initial asset split stands at 95% equities and 5% bitcoin, with dividends automatically converted to bitcoin exposure.
  • Risk Management: Mandatory rebalancing trims bitcoin allocations to 4.5% whenever they breach 5% quarterly or 20% dynamically.
  • Cost Structure: FBEQ carries a low 0.09% expense ratio.

Why It Matters

This innovative structure bridges traditional brokerage accounts with digital asset accumulation without requiring investors to manage crypto wallets or exchange accounts. By turning corporate equity yield directly into recurring bitcoin demand, Franklin Templeton provides institutional and retail investors an automated dollar-cost-averaging mechanism. If successful, these DRIP funds could serve as a model for mainstream financial products seeking passive, yield-driven crypto exposure.
